Notice on the considered Long-Term Lease of the Logistics and Distribution Centre (Prescribed information)

TOKIĆ d.d. (hereinafter: the Company) hereby announces that the Company is considering entering into a long-term lease of a logistics and distribution centre instead of the previously planned construction of a new logistics and distribution centre.

Specifically, the Company has conducted a comprehensive analysis of market trends, as well as the broader macroeconomic and geopolitical environment, taking into account the strategic objectives of the Tokić Group. All conducted business and financial analyses indicate clear advantages and favourable effects of a long-term lease of a logistics and distribution centre on the operations and financial position of the Company and the Tokić Group as a whole.

The key advantages of a long-term lease of a logistics and distribution centre, as an appropriate long-term solution, include:

  • earlier and simpler entry into a new logistics and distribution centre, enabling faster implementation of more efficient and productive distribution and logistics operations, resulting in a shorter return on investment and an earlier commencement of operations with a higher level of profitability;
  • timely utilisation of favourable market conditions, ensuring in the long term modern and high-quality logistics and warehousing facilities in a desirable location, with a full degree of automation;
  • release of additional capital for organic growth, acquisitions and investments in new business segments, in line with the strategic objectives of the Tokić Group.

The Company has requested proposals from potential partners for the long-term lease of a logistics and distribution centre. Following the evaluation of the received proposals, the Management Board and the Supervisory Board will adopt a final decision on the conclusion of a long-term lease agreement for a highly automated logistics and distribution centre. The agreement is expected to be concluded by the end of the second quarter of 2026, with entry into the new logistics and distribution centre expected at the beginning of 2027.

By considering the aforementioned long-term lease option, instead of the initially planned construction of a new logistics and distribution centre, the Company is responding in a timely manner to newly arisen circumstances, with the clear objective of creating additional value for the Company’s shareholders, as well as further strengthening and ensuring the sustainable development of the Tokić Group’s operations.
