Tokić d.d., Zagreb, Ulica 144. brigade Hrvatske vojske 1A, Personal Identification Number (OIB):  74867487620, hereby informs the investment public that on 2 September 2026 a binding agreement  has been signed for the acquisition of 100% of the business shares in the Slovenian company SAG  SLO d.o.o., operating under the Matik brand, with its registered office at Letališka cesta 33 F,  Ljubljana

SAG SLO d.o.o. is currently owned by the international group Swiss Automotive Group (SAG), which  employs more than 4,000 people and operates in around ten European markets in the distribution of auto  parts and related vehicle maintenance products. SAG SLO d.o.o., known under the Matik brand, is one  of the leading distributors of spare parts for commercial vehicles, trucks, and buses on the Slovenian  market. The Matik brand, whose roots on the international market date back to 1969, has been developing  on the Slovenian market for thirty years, and is present through business units in Ljubljana, Maribor,  and Koper. 

According to audited financial data for 2025, the Company generated revenue of EUR 7.2 million and  employed 28 people. The Company’s product portfolio comprises service and spare parts, drivetrain  components, lubricants, chemical products, consumables, and workshop equipment, intended for the  passenger and commercial vehicle segments. The Company’s revenue is generated through wholesale  and retail channels, with a customer base consisting of service workshops, transport operators, auto parts  retailers, and end customers.

By signing the binding agreement for the acquisition of SAG SLO d.o.o., Tokić d.d. continues its growth  strategy through acquisitions, in line with previously announced strategic guidelines. The acquisition  represents a further strengthening of Tokić Group’s presence on the Slovenian market, where the Group  is already present through the company Bartog. Since its acquisition in 2020, Bartog’s revenue has  doubled, further strengthening Tokić Group’s regional platform. 

The acquisition is expected to have an immediate positive impact on the operations and consolidated  revenue of Tokić Group, together with positive synergy effects. Closing of the transaction and the  transfer of ownership will be completed following receipt of all necessary regulatory approvals,  including approval from the competent competition authority.
